Resumen
[ES] El traslado transfronterizo del domicilio social como instrumento para llevar a cabo la
libertad de establecimiento dentro de la Unión Europea por parte de las sociedades, no
cuenta con una armonización mínima que regule la consecución de dicho ejercicio.
En este contexto, los Estados miembro regulan el criterio de conexión de la ley aplicable
al traslado del domicilio de las sociedades, basándose principalmente en dos modelos
existentes de determinación de la lex societatis, lo cual, genera una problemática que en la
práctica se traduce en una restricción de dicha libertad de las sociedades, suponiendo así
un impedimento al desarrollo de actividades económicas en otro Estado miembro.
A la luz del reciente caso Polbud, este estudio lleva a cabo una revisión jurídico-teórica de
la libertad de establecimiento y de la movilidad societaria relativa al traslado
transfronterizo del domicilio social, analizando la evolución de la jurisprudencia del TJUE
emanada de los litigios acaecidos por la restricción a las sociedades en cuanto al ejercicio
de dicha libertad, abordando finalmente la necesidad de adopción de la Decimocuarta
Directiva de traslado transfronterizo, así como el contenido mínimo que esta debería incluir
para dar una respuesta satisfactoria a la incertidumbre que genera la falta de armonización [EN] The cross-border conversion of the registered office as an instrument to carry out the

minimum harmonization that regulates the achievement of this exercise.
In this context, the member states regulate the connection criterion of the law applicable to
the transfer of the domicile of the companies, mainly based on two existing models for
determining the lex societatis, which generates a problem that in practice translates into a
restriction on such freedom of the companies, thus supposing an impediment to the
development of economic activities in another Member State.
Thanks to the novelty of the recent Polbud case, this study carries out a legal-theoretical
review of the freedom of establishment and of corporate mobility related to the crossborder
transfer of the registered office. The analysis of the evolution of the jurisprudence
of the CJEU emanated from the litigations occurred due to the restriction of the companies
regarding the exercise of said freedom. Finally, the need for the adoption of the Fourteenth
Directive on cross-border conversion is studied, as well as the minimum content that it
should include to give a satisfactory answer to the uncertainty generated by the lack of
harmonization.
