Hacia la digitalización en las Sociedades de capital: página web corporativa y Junta General

Abstract

[ES] El Derecho de Sociedades se caracteriza por continua necesidad de adaptación a los cambios sociales y tecnológicos. Se analizarán dos de las principales herramientas digitales que prevé la Ley de Sociedades de Capital: por un lado, la página web corporativa y las previsiones de los artículos 11 bis, 11 ter y 11 quáter, y por otro, la posibilidad de asistir de manera telemática a la junta general mientras se celebra una presencial, o cuando se trate de una reunión exclusivamente telemática. A pesar de que la ley solo contemplaba la posibilidad de asistir y ejecutar los derechos a distancia, la nueva realidad social ha favorecido que el legislador permita la celebración completa telemática, garantizando la identidad de los sujetos. La regulación durante el estado de alarma ha favorecido la aprobación de la reforma de la ley a través de la Ley 5/2021. Por eso, el objeto de estudio de este trabajo trata de cómo la ley y la doctrina contemplan la digitalización de las sociedades, así como su evolución a lo largo de los últimos años.

[EN] Company law is characterised by a continuous need to adapt to social and technological changes. Two of the main digital tools provided for in the Capital Companies Act will be analysed in the End-of-Degree Project: on the one hand, the corporate website, and the provisions of articles 11 bis, 11 ter and 11 quarter, and on the other, the possibility of attending the general meeting telematically, via real-time remote connection, while a face-to-face meeting is being held, or when it is an exclusively telematic meeting. Even though the law only contemplated the possibility of attending and exercising rights remotely, the new social reality due to the COVID-19 has favoured the legislator's allowing full telematic meetings, guaranteeing the identity of the subjects. The regulation during the State of Alarm has facilitated the approval of the amendment of the Spanish Law through Law 5/2021. For this reason, the object of study of this paper deals with how the law and doctrine contemplate the digitalisation of companies, and its evolution.
